Recent experience includes advising:

  • Representing clients in tax, labor and commercial litigation (in both Russian and Kazakh), prepared documents for the ICC arbitration proceedings.

  • Assistance to clients on problematic individual dismissals and mass lay-offs, representing clients in negotiating employment contracts with local management.

  • Legal support in the securitization transaction in relation to a Kazakhstan bank, including creation of a special financial company, issuance and placement of CDO, assistance in the activities of the special financial company, support of mandatory reporting of the special financial company to the National Bank of Kazakhstan and the CDO holders, legal support in the buy-out of CDO and holding the general meetings of the CDO holders.

  • Legal support for the creation of a subsidiary of a major foreign bank in Kazakhstan, obtaining a status of a bank holding and a major participant of the bank.

  • Leading a team of lawyers for several M&A projects. Assisting an international pharmaceutical company and an oil and gas company in restructuring of their operations and consolidation of assets in Kazakhstan.

  • Assisting a major Kazakhstan metals producer and a major gold mining company doing an IPO in Hong Kong, including conducting due diligence, producing a legal opinion, advising on various structuring and regulatory approval matters, drafting Kazakhstan part of the IPO prospectus.

  • Representing a consortium of major foreign investors in the transfer of 10% interest in a major Kazakhstan oil and gas project, drafted and negotiated financing documents to support the acquisition, documents necessary to effect the transfer, assisted with regulatory filings and correspondence and negotiation with various state agencies concerning the transfer.

  • Advising on IP matters, including tax and legal regulation of the transfer of rights to copyright objects and qualification of payments therefor.

  • Advising international companies on various aspects of bringing foreign personnel to Kazakhstan, structuring thereof, including with elements of secondment, direct hiring, agency arrangements etc.

  • Advising a major foreign oil and gas company on legal implications of joint processing and selling of crude oil and gas.

  • Assistance to multinational companies in M&A deals and internal restructuring, including advising on various subsoil use, anti-trust, corporate and securities regulation matters, review of restructuring and M&A documentation, tax and legal structuring and applicability of regulatory consents and approvals.

  • Advising multinational pharmaceutical companies on regulatory requirements to pharmaceutical activities, advertising requirements and labor issues (including problematic individual dismissals and labor litigation), personal data protection, EEU regulations, anti-bribery compliance matters, requirements for participating in tenders as part of procurement for GSFHS; reviewed distribution and marketing agreements; advertising services agreements, internal policies in relation to personal data protection, ethics, employment matters, corporate documentation.

  • Assistance to clients in obtaining investment preferences for their investment projects in Kazakhstan, including advising on requirements, preparation and submission of the application and enclosed documents, and conclusion of an investment contract.
